Aethex Healthcare operates strictly as a B2B pharmaceutical distributor and supply chain partner. Our platform and supply operations are designed exclusively for verified commercial, institutional, and professional entities, including hospitals, licensed clinics, retail pharmacies, government health agencies, and registered wholesalers.

• No Direct-to-Consumer (D2C) Sales: We do not supply or process orders for individual retail consumers.
• Product Range: We supply general healthcare products, Over-the-Counter (OTC) items, surgical disposables, as well as prescription pharmaceuticals (including Schedule H, H1, and regulated categories) strictly to legally authorized buyers.

Compliance with applicable drug control and taxation laws is mandatory for all transactions.

• Mandatory Documentation: Before any order for prescription or regulated pharmaceuticals is confirmed or dispatched, the Buyer must provide valid copies of their Drug Licenses (Form 20/21 or applicable regional equivalents), GSTIN registration, and details of the authorized pharmacist/signatory.
• License Validity: The Buyer warrants that all submitted licenses and registrations are active, valid, and in good standing. The Buyer agrees to notify Aethex Healthcare immediately if any regulatory authority suspends, cancels, or alters their license status.
• Order Cancellation: Aethex Healthcare reserves the right to suspend or cancel any order or buyer account if drug license details cannot be verified, are expired, or violate statutory regulations.

• Price Variations: Product listings, prices, and stock availability displayed on www.aethexhealthcare.com or preliminary price lists are indicative and subject to change without prior notice due to manufacturer price revisions, market availability, or tax updates.
• Binding Orders: A purchase order submitted by the Buyer becomes binding only upon issuance of an official written Order Confirmation and Performa/Tax Invoice from Aethex Healthcare.
• Right to Refuse: Aethex Healthcare reserves the right to refuse, limit, or modify order quantities based on batch allocations, regulatory quotas, or stock shortages.

• Payment Methods: Payments must be made via authorized banking channels, including NEFT, RTGS, IMPS, or approved online payment gateways. Cash payments are strictly prohibited.
• Credit Terms: Credit facilities are granted solely at the discretion of Aethex Healthcare following credit approval and written agreement.
• Late Payment Interest: Invoices not settled within the agreed payment term shall attract interest at the rate of 18% per annum (or the maximum rate permitted by law), calculated daily from the due date until full payment is received.
• Retention of Title (Ownership): Title and legal ownership of all supplied pharmaceuticals remain with Aethex Healthcare until the invoice amount has been paid in full. Risk of loss or damage transfers to the Buyer upon delivery as set out in Section 5.

• Delivery Locations: Deliveries are made exclusively to the registered commercial address specified in the Buyer's verified drug license. No deliveries will be made to residential or unverified locations.
• Cold Chain Management: Temperature-sensitive products (2°C–8°C) are dispatched using insulated packaging and cold-chain indicators. The Buyer must immediately store these products in compliant refrigeration upon arrival.
• Transit Delays: Estimated delivery times are approximate. Aethex Healthcare is not liable for transport delays caused by logistics partners, customs clearance, transit checkpoints, or weather disruptions.

• Immediate Inspection: The Buyer must inspect all packages immediately upon arrival. Any physical damage, box count shortage, or temperature breach must be documented on the Proof of Delivery (POD) slip and reported to support@aethexhealthcare.com within 24 to 48 hours of receipt.
• Return Authorization: Returns are governed strictly by our B2B Return Policy. Unsolicited returns sent without a written Return Merchandise Authorization (RMA) will be rejected at the warehouse.

All content on www.aethexhealthcare.com—including company logos, trademarks, text, layout, software scripts, and visual design—is the exclusive property of Aethex Healthcare or its licensors and is protected under intellectual property laws. Reproduction, scraping, or distribution of site content without prior written permission is prohibited.

• Direct Liability Cap: To the maximum extent permitted by law, Aethex Healthcare's total financial liability for any claim arising out of a purchase order shall not exceed the invoice value of the specific order giving rise to the claim.
• Indirect Damages: Aethex Healthcare shall not be liable for any indirect, incidental, special, or consequential loss, including loss of profit, business interruption, or patient claims.
• Force Majeure: Neither party shall be liable for failure or delay in performance caused by events beyond reasonable control, including natural disasters, active manufacturer drug recalls, raw material shortages, government lockdowns, or transport strikes.

The Buyer agrees to indemnify, defend, and hold harmless Aethex Healthcare, its officers, directors, and employees from any claims, regulatory penalties, damages, or legal fees resulting from:

1. The Buyer's improper storage, handling, or off-label use/dispensing of supplied products.
2. The Buyer operating with an expired or invalid drug license.
3. Unlawful resale or distribution of controlled pharmaceutical products.

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of India.
• Jurisdiction: Any legal action, suit, or proceeding arising out of or relating to these Terms or services provided by Aethex Healthcare shall be subject to the exclusive jurisdiction of the competent courts located in Ahmedabad, Gujarat, India.
